End User License Agreement

This End User License Agreement (“Agreement”) is a contract between the users (hereinafter referred to as “You”) of the Software and Products (as defined below), on the one hand, and the International Charitable Foundation “The Alliance for Public Health” (hereinafter referred to as the “Alliance”), on the other hand.

Please read the terms and conditions of this Agreement carefully before accessing or using the Alliance’s product: the Help 24 website at https://help24.org.ua/ (hereinafter referred to as the “Product”).

The Product may contain embedded software (hereinafter referred to as the “Software”), for which the Alliance grants its clients a license to use solely in accordance with the terms of this Agreement.

By registering on the https://help24.org.ua/ website or by accessing or using the Product, You acknowledge and agree to be bound by the terms and conditions of this Agreement.

The section titled “Product Restrictions” below sets forth specific limitations regarding the use of the Software and related services, particularly with respect to safety practices and permitted usage. Please review this section carefully, as by agreeing to this Agreement, You also accept these limitations.

Subject Matter

This Agreement governs the legal rights and obligations of end users of the Product and Software, on the one hand, and the Alliance, on the other. It addresses matters such as intellectual property rights, privacy policy, warranties, and other topics set forth herein.

Contractual Relationship

You represent and warrant that You have the legal capacity to enter into this Agreement relating to the Software and Product, and that You have reached the age of majority under the laws of Your jurisdiction or place of residence to access or use the Software and Product.

Product Restrictions

You represent, warrant, and agree not to use the Product or Software, or otherwise engage with them, in any manner that:

Infringes the intellectual property rights or any other rights of any person or entity (including the Alliance);
Violates any applicable law or regulation;
Is harmful, fraudulent, deceptive, threatening, abusive, defamatory, obscene, or otherwise objectionable;
Compromises the security of Your or another person’s account (e.g., by allowing a third party to access the system on Your behalf);
Involves obtaining passwords, account details, or any other security-related information from any other user;
Compromises the security of any computer network or involves hacking passwords or encryption codes.

This Agreement grants You specific legal rights. You may also have additional rights depending on the jurisdiction in which You reside.

License

Subject to the terms and limitations set forth in this Agreement, the Alliance grants You a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software solely in its object code form, embedded exclusively in the Alliance’s Product that You own or control, and solely for Your personal, non-commercial use of the Product.

You may not (and shall not permit any third party to) rent, distribute, transfer, commercialize, or sublicense the Software, or use the Software in a shared-use environment or in any other unauthorized manner. Furthermore, the license does not entitle You to access the Software in its human-readable (source code) form. The Software and accompanying documentation may be copied solely for backup or archival purposes within the scope of permitted use under this Agreement. You must reproduce and include all copyright and proprietary rights notices that appear on the Software on any copies You make.

Prohibition on Assignment and Reverse Engineering

Modification, reverse engineering, decompilation, or disassembly of the Software is strictly prohibited.

Export Restrictions

You shall not (and shall not permit any third party to) export or re-export from Ukraine, or allow the export or re-export of any part of the Software and Product, or any of its direct copies, to any foreign country.

Ownership; Trade Secrets

You acknowledge and agree that all (a) copyrights and other intellectual property rights worldwide, and (b) ownership rights to the Software and all its subsequent copies, regardless of form or medium, are the exclusive property of The Alliance and the donors who funded the development of this Software. You acknowledge and agree that the Software contains valuable trade secrets and other important user-related information. You agree to keep such trade secrets and confidential information secret, and you acknowledge that any actual or potential breach of this obligation will cause immediate, irreparable harm that cannot be adequately compensated with money.

Copyright and Trademarks

All materials and content on the Alliance website (https://help24.org.ua/) and the Software are owned and used by the Alliance in accordance with applicable licenses and laws. You may not copy, distribute, or otherwise disclose any materials or content (including any logos, images, or data), or use them in any way incompatible with the exclusive rights of the copyright or trademark owner unless you own the materials or content or have written permission from the owner.

Privacy Policy

The Alliance is committed to protecting your privacy regarding any information collected under this Agreement. By using the Product and Software, you express your agreement to this Agreement and consent to the privacy policy as stated on the website.
For warranty service, technical support functions, and/or equipment repair, The Alliance reserves the right to add an administrative account to the client device. At the same time, The Alliance maintains all applicable confidentiality guarantees and conditions under these circumstances.

Term and Termination

This Agreement becomes effective upon your first use of the Software or Product and remains in effect until terminated. You may terminate it at any time by sending written notice to the Alliance. It will also terminate immediately if you fail to comply with any term of this Agreement. Upon termination, the licenses granted by this Agreement immediately lose effect, and you agree to cease any access to the use of the Products, Software, and Documentation. Provisions that, by their nature, remain in effect will survive the termination of this Agreement.

No Assignment

You may not assign or transfer your rights under this Agreement. Any attempt to assign or transfer in violation of this clause is void.

Notices

The Alliance may send you notices via email or regular mail. Notices will be sent to the address you registered on the website: https://help24.org.ua/.

Headings

The headings and titles of the sections of this Agreement are for convenience only and shall not be used in the interpretation of this Agreement.

Disclaimer

In accordance with the current legislation of Ukraine, the International Charitable Foundation “The Alliance for Public Health” (hereinafter referred to as the “Alliance”) disclaims any representations and warranties, whether implied or otherwise, and disclaims any liability regarding the https://help24.org.ua/ website (hereinafter referred to as the “Website”), its content, and its use. Under no circumstances shall the Website administration be liable to any party for any direct, indirect, special, or other consequential damages arising from the use of information on this Website or any other website linked from this Website, including dependency, decreased work performance, dismissal or interruption of work activity, expulsion from educational institutions, or termination of employment, any lost profits, cessation of business operations, loss of programs or data in your information systems, or otherwise, arising from accessing, using, or being unable to use the Website, its content, or any linked website, or due to malfunction, error, omission, failure, defect, downtime, delay in transmission, computer virus, or system failure, even if the administration is notified of the possibility of such damage. The Website user agrees that all disputes will be resolved in accordance with the norms of Ukrainian law.
